Indonesia pharmacy franchising, taken apart: the franchisor says 3 years, the listed incumbent has lost money for three, and foreigners have no ticket at all

The surface story is attractive: K-24 runs 700+ 24-hour pharmacies across 152 cities, franchising since 2007; a 60 sqm outlet costs about Rp1.0–1.2bn all-in with a Rp110–120M franchise fee for six years, and the only payback figure in circulation is the franchisor-side projection of "about three years". All three of this site's tests fail. First, evidence: PT K-24 is private and publishes no per-store P&L; Indonesia has no franchise-disclosure regime, and even the royalty rate cannot be pinned down (1.5% and 1.8% circulate with no formal document). Second, the audited sector numbers point the other way: the listed state incumbent Kimia Farma (KAEF) has posted three consecutive years of net losses (2023 −Rp2.0tn, 2024 −Rp0.84tn, 2025 −Rp0.34tn) on revenue down to Rp9.2tn — in an industry squeezed by public-insurance pricing and drug price ceilings, even the state champion does not make money, and its pharmacy subsidiary does not disclose store economics. Third, eligibility: the Positive Investment List (Presidential Regulation 10/2021) reserves pharmacy drug retail to Indonesian cooperatives and MSMEs, a category that by definition excludes foreign-invested companies, and every pharmacy must be run by a licensed Indonesian pharmacist-in-charge. Rated below the bar as an explainer: its three warnings (vendor-only numbers, a loss-making listed sector, a legal bar on foreign ownership) would each alone suffice to turn a foreign reader away.

In short: four lines first

What it costs to get in

About Rp1.0–1.2bn all-in per store (local franchise basis; no foreign route)

Roughly what it earns

3 years(K-24 franchisor-claimed payback (vendor model, no audited data))

How much work for you

Medium burden (a licensed pharmacist-in-charge must run operations)

The biggest catch

This entry is itself the risk statement: vendor-model-only returns, an audited loss-making sector, and a legal bar on foreign ownership — any one of the three would justify rejection; this entry holds all three at once.

The numbers that matter

Why we think it makes money

It is the sample case for the "reserved list" lesson — Indonesia's version of a foreign-business act: some retail formats belong by law to domestic MSMEs and cooperatives, and foreign capital does not even get an application form. Reading the reserved list before the returns is the first move in Indonesian consumer retail.

A loss-making listed incumbent is a free industry health check: KAEF's three loss years and a share price down about 40% in a year show pharmacy retail margins being systematically compressed by insurance-channel pricing and drug price ceilings (HET) — franchisees do not get an exemption from the industry's profit pool.

With the Alfamart entry (No. 29) it completes an Indonesian franchising pair: convenience stores are "costed out and unprofitable"; pharmacies are "cannot be costed at all, and cannot be entered" — the same format shell, two entirely different ways to die.

How to actually get in

  1. Foreign investors: no compliant route (pharmacy retail is a reserved activity; nominee arrangements are illegal). This page offers no workaround.
  2. Indonesian readers: the K-24 franchise (rates and payback must be confirmed against the franchisor's current formal documents — the sources this site found contradict each other, which is itself a pre-signing problem to solve).

Risks: what could go wrong

This entry is itself the risk statement: vendor-model-only returns, an audited loss-making sector, and a legal bar on foreign ownership — any one of the three would justify rejection; this entry holds all three at once. If these happen, our take changes: If Indonesia revises the reserved list to open pharmacy retail to foreign capital, and a franchisor publishes audited store-level data, this entry is rebuilt.
A disclosure vacuum: in a market with no franchise-disclosure regime, even the franchisor's royalty rate has no consistent formal basis — the signing party is fully exposed informationally to the franchisor. If these happen, our take changes: None (institutional feature).
The industry profit pool is shrinking: the state champion's three loss years and insurance-pricing pressure mean the store-level margin ceiling is descending; the vendor's three-year payback projection was written in a better era. If these happen, our take changes: If KAEF returns to sustained profitability (audited basis), the sector judgment is revised with it.

FAQ

Could Kimia Farma's losses just be state-enterprise inefficiency, with private K-24 different?
Possibly — which is why this site does not pronounce the sector unprofitable as a verdict. But the burden of proof sits with the seller: while K-24 publishes nothing checkable, "private means efficient" is a claim of the same evidence grade as "three-year payback". Audited losses are hard facts; efficiency is a soft claim; pricing must follow the hard facts.
Against Thailand's Otteri (entry No. 37), which wall is higher?
Indonesia's, completely: Thailand runs a licensing system (a Foreign Business Licence is theoretically obtainable and rarely granted); Indonesian pharmacy retail is a reserved list (no application channel exists at all). The two walls have different shapes, and readers should learn to tell them apart: licensing systems are assessed on approval probability; reserved lists mean turn around immediately.
What about a local partner holding the shares while I fund it?
That is precisely a nominee arrangement, which in a reserved activity amounts to evading the law; the agreement is unenforceable and may carry criminal exposure. This site's answer on nominees is the same in every market: no, and no workaround design is offered.
